TERMS AND CONDITIONS

Please read these Terms and Conditions ("Terms") carefully before using the Tire Monitor Pro mobile application (the "App") operated by you the user ("us," "we," or "our").

By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the App.

1. Acceptance of Terms

By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms apply to all users of the App, including without limitation users who are browsers, customers, merchants, and/or contributors of content.

2. Purpose and Disclaimer

The App is designed to provide recommendations and data related to tire pressures for track day and racing applications. The data provided by the App is for informational purposes only and is based on theoretical models and user inputs.

YOU ACKNOWLEDGE AND AGREE THAT:

* You are solely responsible for the safety of your vehicle and your person.

* The App's recommendations are not a substitute for professional advice or your own judgment.

* The App should not be relied upon as the sole source of information for setting tire pressures.

* You must always adhere to the recommendations and safety guidelines of your vehicle manufacturer, tire manufacturer, and track/racing organization.

* We make no warranties or guarantees regarding the accuracy, reliability, or completeness of the data and recommendations provided by the App.

3. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL [Your Company Name], ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (iii) ANY CONTENT OBTAINED FROM THE APP; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

4. Indemnification

You agree to defend, indemnify, and hold harmless operated by you the user and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the App, by you or any person using your account and password; or b) a breach of these Terms.

5. Intellectual Property

The App and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of Tire Pressure Pro and its licensors. The App is protected by copyright, trademark, and other laws of both Canada and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of operated by you the user.

6. User Responsibilities

You agree not to use the App for any purpose that is unlawful or prohibited by these Terms. You are prohibited from:

* Attempting to decompile or reverse engineer any software contained within the App.

* Removing any copyright or other proprietary notations from the materials.

* Using the App in any way that could harm the App or its users.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms.

8. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the state of North Carolina, USA.  Province of Ontario, Canada, without regard to its conflict of law provisions. Any legal action or proceeding related to this App shall be brought exclusively in the courts of the state of North Carolina, USA.  Province of Ontario, Canada.

Disclaimer of Warranties; Limitation of Liability 

1. Nature of the Service

The Tire Monitor Pro app provides data, recommendations, and calculations for tire pressures based on user-provided inputs and specific environmental conditions (e.g., track direction, ambient temperature). This information is provided "as is" and "as available" and is intended for informational and advisory purposes only.

2. User Responsibility

You acknowledge and agree that you are solely responsible for the safe and proper operation of your vehicle. The use of the App and any reliance upon its recommendations is at your own risk. The App's recommendations are not a substitute for:

* Your own due diligence and judgment.

* The advice of a qualified professional.

* The specific recommendations and safety guidelines of your vehicle manufacturer, tire manufacturer, and racing or track day organization.

3. No Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT:

* THE APP WILL MEET YOUR SPECIFIC REQUIREMENTS.

* THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

* THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE APP WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY SPECIFIC PURPOSE.

* ANY ERRORS IN THE APP WILL BE CORRECTED.

4. Exclusion of Damages

YOU EXPRESSLY UNDERSTAND AND AGREE THAT WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:

* THE USE OR THE INABILITY TO USE THE APP.

* THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE APP.

* UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

* STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE APP.

* ANY OTHER MATTER RELATING TO THE APP.

5. Vehicle and Personal Safety

YOU ACKNOWLEDGE THAT TRACK DRIVING AND RACING ARE INHERENTLY DANGEROUS ACTIVITIES. YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF YOUR VEHICLE AND ITS TIRES, INCLUDING RISKS OF PROPERTY DAMAGE, PERSONAL INJURY, AND DEATH. THE APP DOES NOT AND CANNOT ELIMINATE THESE RISKS.

By using the App, you release, waive, and discharge operated by you the user, its officers, employees, agents, and representatives from all liability, claims, demands, losses, or damages on account of injury, including death or damage to property, caused or alleged to be caused in whole or in part by your use of the App. TIRE PRESSURE PRO Div. of 6361099 Canada Inc.
